General Terms and Conditions – BiBOT (trade name of Sanum B.V.)

Article 1 – Definitions and applicability

1.1 Sanum B.V., trading under the nameBiBOT, located at Verdunplein 17, 5627 SZ Eindhoven, registered with the Chamber of Commerce under number96920238, with VAT numberNL867832885B01, hereinafter referred to as: “BiBOT” or “Sanum B.V.”.
1.2 Client:the legal entity or company that purchases services from BiBOT, or to whom BiBOT submits quotations.
1.3 These conditions apply to all quotations, agreements and services from BiBOT, including:

• app development (native, web, hybrid and PWA),

• web design and web development (WordPress, WooCommerce, Shopify),

• online marketing (SEO, SEA, social media),

• marketing advice and consultancy,

• website maintenance, domain registration and management, hosting and support.
  1.4 Deviations from these conditions only apply if explicitly agreed in writing. General terms and conditions of the Client are expressly rejected.
  1.5 If any provision of these terms and conditions is declared null and void or canceled, the other provisions will remain in full force and effect. The parties will replace the void provision with a valid provision that comes as close as possible to the original purpose.

Article 2 – Quotations and agreement

2.1 Quotations from BiBOT are without obligation, unless expressly stated otherwise.
2.2 Agreements are only concluded after written confirmation (including e-mail) by both parties.
2.3 These conditions apply exclusively to business agreements. Separate conditions to be agreed in writing apply to private clients.

Article 3 – Prices and payment

3.1 All prices are exclusive of VAT and other levies.
3.2 For orders up to €1,500 the following applies:50% in advanceto be paid before the start of the work and50% within 14 daysafter delivery.
3.3 For orders from €1,500, an advance payment will be madepayment scheduleagreed in milestones. A minimum down payment always applies€1,000in advance. Each subsequent milestone must be fully met before further work is carried out.
3.4 In the event of late payment, the Client is automatically in default and owes statutory interest, as well as extrajudicial collection costs with a minimum of€250,-.

Article 4 – Complaints

4.1 Complaints must be submitted no later than8 days after invoice dateto be notified by email atcontact@sanum.be. Complaints via other channels will not be processed.
4.2 A complaint does not suspend the Client's payment obligations.

Article 5 – Cancellation and termination

5.1 Monthly services can be canceled with a notice period of7 days beforethe end of the calendar month, unless otherwise agreed.
5.2 Annual contracts (such as hosting, maintenance or management) must be a minimumone month before expirymust be canceled in writing or by e-mail. If notice is not given on time, the contract will be automatically extended by one year.
5.3 BiBOT can conclude an agreementterminate immediatelyif the Client fails to fulfill its obligations, is declared bankrupt, applies for a suspension of payments, or ceases its activities, without BiBOT being obliged to pay compensation.

Article 6 – Force majeure

6.1 In the event of force majeure (such as illness, pandemics, natural disasters, strikes, disruptions or government measures), BiBOT has the right to suspend or terminate the execution of the agreement, without compensation.
6.2 The Client remains obliged to pay for work already carried out.

Article 7 – Liability

7.1 BiBOT's liability is limited todirect damage, up to max€10,000 per assignment.
7.2 BiBOT is not liable forindirect damage, such as consequential damage, lost profits, business stagnation or missed savings.
7.3 Liability only arises if the Client has given BiBOT written notice of default and BiBOT has not complied within a reasonable period.
7.4 Any liability expires aftertwo yearsfrom the moment the damage occurred.

Article 8 – Indemnity

8.1 The Client fully indemnifies BiBOT against claims from third parties arising from the Client's failure to fulfill obligations, including any legal costs.
8.2 The Client submits claims from third parties8 daysto report this in writing to BiBOT after becoming aware of it.

Article 9 – Confidentiality

9.1 The parties undertake to:secrecyof all confidential information they obtain in the context of the agreement.
9.2 This obligation of confidentiality will remain in effect untilfive years after terminationof the agreement.

Article 10 – Changes to conditions

10.1 BiBOT reserves the right to these terms and conditionsto be changed unilaterally.
10.2 Changes will be announced in a timely manner by e-mail or via the BiBOT website.

Article 11 – Applicable law and disputes

11.1 All agreements with BiBOT (trade name of Sanum B.V.).exclusively Dutch lawapplicable.
11.2 Disputes will initially be attempted to be resolved viamediation or alternative dispute resolution. If this does not lead to a solution, only theEast Brabant court, Eindhoven location.
